These Terms & Conditions (“Terms”) govern the use of services provided by Siegle Producer (CNPJ 27.932.120/0001-83) (“we”, “us”, “our”). By accessing or contracting our services, you (“Client”, “you”) agree to these Terms. Please read them carefully before using our services.

1. Services

Siegle Producer provides digital marketing and creative services, including website design and development, branding & identity, social media management, and AI-powered customer support solutions (chatbots). Custom deliverables are defined in project proposals, contracts, or statements of work (SOW).

2. Eligibility

By contracting our services, you confirm that you are at least 18 years old (or the age of legal majority in your jurisdiction) and have the authority to enter into binding agreements on behalf of your company or organization.

3. Client Responsibilities

You agree to provide accurate and complete information necessary for the execution of the services, supply required content, brand assets, and approvals in a timely manner, and ensure you have the rights to use all materials provided to us (logos, images, text, etc.).

4. Fees & Payment

Fees are set forth in project proposals or contracts. Payment terms (due dates, installments, late fees) will be specified in writing. Services may be paused or delayed if payments are late.

5. Intellectual Property

Client Content: You retain ownership of all content and materials you provide.
Agency Deliverables: Upon full payment, you receive the rights to use final approved deliverables for their intended purposes.
Work-in-Progress & Tools: Drafts, working files, and internal tools remain property of Siegle Producer unless otherwise agreed.
Third-Party Materials: Use of stock images, fonts, or licensed assets may be subject to third-party terms.

6. Confidentiality

Both parties agree to keep confidential any non-public information shared during the engagement. This obligation survives the end of the contract.

7. AI Services Disclaimer

When using AI-powered services (e.g., chatbots), responses are generated automatically and may not always be accurate. Siegle Producer is not responsible for errors, omissions, or outcomes resulting from reliance on AI outputs. Client is responsible for final review and compliance of all AI-generated content.

8. Limitation of Liability

To the maximum extent permitted by law, Siegle Producer shall not be liable for indirect, incidental, or consequential damages such as loss of revenue, profits, data, or business opportunities. Our total liability shall not exceed the amount paid by the Client for the specific service giving rise to the claim.

9. Termination

Either party may terminate the contract if the other party materially breaches these Terms and fails to remedy within [10] days of notice, or if payment obligations are not met. Upon termination, fees for services already performed remain due.

10. Governing Law & Dispute Resolution

These Terms shall be interpreted in accordance with applicable law. Any disputes shall first be attempted to be resolved amicably through negotiation. If not resolved, the parties agree to determine a suitable jurisdiction by mutual agreement.

11. Changes to Terms

We may update these Terms from time to time. The updated version will be posted on our website with a new “Last updated” date. Continued use of our services constitutes acceptance of the revised Terms.
